Parking Membership Terms and Conditions

These Terms and Conditions ("Terms") govern the purchase and use of Membership Parking Subscriptions ("Membership Subscription") provided by Smart Parking Technologies Ltd ("SPT", "we", "us", or "our") through the SPT ParkEasy mobile application ("App"), associated websites, and participating parking facilities.

By purchasing, accessing, renewing, or using a Membership Subscription, you agree to be bound by these Terms.

1. Membership Subscription

1.1 A Membership Subscription provides the customer with parking access rights at a designated participating parking facility for the subscription period selected at the time of purchase.

1.2 Membership Subscriptions are available on monthly, quarterly, annual, or other subscription periods offered by SPT from time to time.

1.3 Membership Subscriptions renew automatically at the end of each subscription period unless cancelled in accordance with these Terms.

1.4 Membership benefits apply only to the specific parking location identified in the subscription order and may not be used at any other location unless expressly stated otherwise by SPT.

1.5 A Membership Subscription grants access to parking facilities during the operating hours applicable to the selected location. Overnight access may be available at certain locations where expressly offered as part of the subscription package.

2. Parking Rights and Usage Restrictions

2.1 Membership Subscriptions provide access to parking facilities but do not guarantee the availability of a parking space.

2.2 Parking facilities operate on a first-come, first-served basis.

2.3 Customers must comply with all car park regulations, signage, instructions, and operational requirements at the relevant parking facility.

2.4 Vehicles must not be left unattended within a participating parking facility for more than three (3) consecutive calendar days without the prior written approval of SPT or the relevant site management.

2.5 SPT reserves the right to remove, relocate, restrict access to, or take enforcement action against any vehicle that remains in the parking facility beyond three (3) consecutive days without prior written approval.

2.6 Any costs incurred by SPT arising from the storage, relocation, removal, recovery, or enforcement action relating to a vehicle left in breach of this clause may be recovered from the customer.

3. Account Management

3.1 Customers are responsible for maintaining an active SPT ParkEasy account.

3.2 Customers may manage their Membership Subscription through the App, including updating personal information, vehicle registration details, payment methods, and subscription preferences.

3.3 Customers are responsible for ensuring that all account information remains accurate, complete, and up to date.

3.4 SPT shall not be liable for any loss arising from inaccurate information provided by the customer.

4. Vehicle Registration Requirements

4.1 Membership Subscriptions are linked to the vehicle registration number recorded on the customer's account.

4.2 Customers may change their registered vehicle through the App, subject to any applicable administration fees.

4.3 Customers are responsible for ensuring that the correct vehicle registration number is associated with the Membership Subscription at all times.

4.4 SPT shall not be liable for denied access, additional charges, enforcement action, or loss arising from inaccurate, incomplete, or outdated vehicle registration information.

4.5 Where ANPR technology is used, customers must ensure that vehicle registration plates are clean, legible, unobstructed, and compliant with applicable legal requirements.

5. Pricing and Payment

5.1 Subscription fees shall be those displayed at the time of purchase or renewal.

5.2 Customers authorise SPT to charge the designated payment method for all subscription fees and related charges.

5.3 Subscription fees are payable in advance and will automatically renew unless cancelled in accordance with these Terms.

5.4 SPT reserves the right to amend subscription pricing at any time.

5.5 Any price increase will be communicated to customers prior to the next renewal date and will take effect from the next subscription period.

5.6 If a customer does not agree to a revised subscription fee, the customer may cancel the Membership Subscription before the next renewal date.

6. Automatic Renewal

6.1 Membership Subscriptions automatically renew at the end of each subscription period.

6.2 Subscription renewal charges will be applied to the customer's nominated payment method on or shortly before the renewal date.

6.3 SPT will endeavour to send a reminder email before an upcoming renewal date, however failure to receive such communication shall not affect the validity of the renewal or the customer's obligation to pay.

6.4 Customers are responsible for ensuring that their payment details remain valid and capable of accepting charges.

7. Failed Payments

7.1 If a renewal payment cannot be processed for any reason, SPT may suspend, restrict, or cancel the Membership Subscription.

7.2 Upon cancellation for non-payment, parking access rights may immediately cease and any associated parking access credentials may be deactivated.

7.3 Continued use of parking facilities following suspension or cancellation may result in standard parking tariffs being applied.

7.4 Non-payment shall not constitute cancellation of a Membership Subscription.

8. Cancellation by Customer

8.1 Customers may cancel their Membership Subscription at any time through the App or by contacting SPT.

8.2 Cancellation requests must be submitted at least twenty-four (24) hours before the next renewal date.

8.3 Following cancellation, the Membership Subscription will remain active until the end of the current paid subscription period.

8.4 No partial refunds shall be issued for any unused portion of an active Membership Subscription.

8.5 Customers who fail to use parking services during an active subscription period shall not be entitled to any refund, credit, or compensation.

9. Cooling-Off Period

9.1 Customers purchasing a Membership Subscription online may cancel within fourteen (14) calendar days of purchase, unless the parking service has already been used.

9.2 Where a customer uses parking services during the cooling-off period, the customer expressly acknowledges and agrees that the service has commenced immediately and the cooling-off cancellation right shall no longer apply.

9.3 Where a valid cooling-off cancellation is exercised, SPT will process any applicable refund within thirty (30) days of cancellation.

10. Cancellation by SPT

10.1 SPT may suspend, restrict, or terminate a Membership Subscription immediately where:

(a) any payment due remains unpaid;

(b) the customer breaches these Terms;

(c) the customer breaches any applicable parking facility terms and conditions;

(d) fraudulent, abusive, unlawful, or prohibited activity is suspected;

(e) continued provision of the Membership Subscription is no longer commercially, operationally, or legally feasible.

10.2 Where SPT terminates a Membership Subscription under this clause, no refund shall be payable unless required by applicable law.

11. Transfer Restrictions

11.1 Membership Subscriptions are personal to the registered customer and vehicle.

11.2 Membership Subscriptions may not be transferred, assigned, shared, sold, sublicensed, or otherwise made available to any other person without the prior written consent of SPT.

11.3 Any unauthorised transfer or use may result in immediate suspension or termination of the Membership Subscription.

12. Service Availability

12.1 SPT does not guarantee uninterrupted availability of any parking facility, parking access system, ANPR system, website, App, or payment platform.

12.2 SPT may suspend, modify, withdraw, or discontinue any aspect of the Membership Subscription at any time where reasonably necessary for maintenance, upgrades, operational requirements, legal compliance, safety requirements, or circumstances beyond its reasonable control.

12.3 SPT reserves the right to discontinue participation of any parking facility in the Membership Subscription programme.

12.4 Where a Membership Subscription is cancelled by SPT due solely to withdrawal of a location or operational requirements, SPT may provide a pro-rata refund for any unused subscription period.

13. Limitation of Liability

13.1 To the fullest extent permitted by law, SPT shall not be liable for any indirect, consequential, incidental, special, exemplary, punitive, or economic loss arising from or relating to the Membership Subscription.

13.2 SPT shall not be liable for vehicle theft, attempted theft, vandalism, accidental damage, loss of property, personal injury, business interruption, loss of profits, loss of revenue, or loss of opportunity arising from use of a parking facility.

13.3 SPT shall not be liable for denied access, enforcement action, additional charges, or losses arising from inaccurate vehicle registration information, payment failures, ANPR errors caused by circumstances outside SPT's reasonable control, or customer failure to comply with these Terms.

13.4 SPT's total aggregate liability shall not exceed the amount paid by the customer for the subscription period giving rise to the claim.

13.5 Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

14. Data Protection and Privacy

14.1 SPT processes personal data, vehicle registration information, payment information, transaction records, and ANPR data for the purposes of providing and administering Membership Subscriptions.

14.2 Personal data shall be processed in accordance with SPT's Privacy Policy, as amended from time to time.

15. Amendments

15.1 SPT reserves the right to amend, update, replace, or modify these Terms at any time.

15.2 Updated Terms shall become effective upon publication on the App, website, or other communication channels.

15.3 Continued use of a Membership Subscription following publication of revised Terms shall constitute acceptance of those revised Terms.

16. General

16.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

16.2 Any delay or failure by SPT to exercise a right or remedy shall not constitute a waiver of that right or remedy.

16.3 SPT shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, severe weather, flooding, fire, epidemic, pandemic, war, terrorism, industrial disputes, telecommunications failures, cyber-attacks, governmental actions, or failures of third-party service providers.

16.4 These Terms constitute the entire agreement between SPT and the customer relating to the Membership Subscription.

16.5 These Terms shall be governed by and construed in accordance with the laws of Ireland.

16.6 The courts of Ireland shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with these Terms.

16.7 All rights not expressly granted under these Terms are reserved by SPT.

17. Contact Information

17.1 Customers requiring assistance may contact SPT using the contact details published on the App or website.

By purchasing or using a Membership Subscription, customers confirm that they have read, understood, and agreed to these Terms and Conditions.
